Legal Counsel – Commercial Contracts

About the role

Simon-Kucher is seeking a Legal Counsel to lead the drafting, review, and negotiation of commercial contracts across the Americas. You will work closely with business units to enable growth while managing legal risk, leveraging modern legal technology to streamline processes.

Key responsibilities

• Review, draft, and negotiate commercial agreements such as NDAs, ELs, DPAs, and MSAs for the U.S., Mexico, Canada, and South America.
• Provide pragmatic legal guidance that balances business objectives with risk mitigation.
• Partner with internal stakeholders to create efficient, scalable contracting workflows.
• Drive adoption and continuous improvement of AI‑enabled Contract Lifecycle Management (CLM) solutions.
• Utilize legal technology and automation tools to enhance contract management efficiency.
• Collaborate with cross‑functional teams on commercial, operational, and strategic initiatives.
• Support cross‑border legal matters and contracting activities across multiple jurisdictions.
• Develop contract standards, templates, and best practices to ensure consistency and compliance.

Required profile

• Bachelor's or Master's degree in Law (LLB, JD, or equivalent).
• 3–5 years of post‑qualification experience in commercial law.
• Proven experience reviewing, drafting, and negotiating commercial agreements.
• Experience with U.S.-governed contracts or U.S.-based companies.
• Fluency in English and Spanish (written and verbal).
• Prior in‑house legal experience or work at an international law firm.

Required skills

• Experience with contract lifecycle management (CLM) platforms.
• Familiarity with AI‑enabled legal technology tools.
