Senior Commercial & Corporate Counsel – Mexico

About the role

PayJoy is seeking a seasoned Senior Commercial and Corporate Counsel to lead all commercial contracting activities in Mexico. You will act as the primary legal advisor on contractual matters, partnering with commercial, operations, and product teams to ensure risk‑aware, compliant, and scalable agreements that support business growth.

Key responsibilities

• Develop and execute the Mexico commercial contracting strategy.
• Lead and mentor a small contracts team, including one direct report.
• Create and maintain standardized contract templates, policies, and best practices.
• Draft, review, and negotiate a wide range of commercial agreements (vendor, partnership, customer‑facing, NDAs, licensing).
• Collaborate with internal stakeholders to align contracts with operational and commercial goals.
• Provide legal support to marketing initiatives, brand agreements, and IP matters (trademarks, copyrights, licensing).
• Advise on corporate governance for Mexican entities, including board minutes, shareholders’ meeting materials, and corporate resolutions.
• Manage corporate secretarial functions and ensure compliance with Mexican law.

Required profile

• Extensive experience as a senior legal counsel handling commercial contracts.
• Proven ability to lead and develop a contracts team.
• Strong understanding of Mexican commercial and corporate law.
• Excellent negotiation skills with a focus on balancing legal risk and business priorities.
• Ability to work cross‑functionally with commercial, operations, product, and marketing teams.
